TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing or using the services provided by Ironline Response LLC ("Ironline," "we," "us," or "our"), including the Iron Forge platform, Forge Console, and related services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. DESCRIPTION OF SERVICE

Ironline Response provides AI powered revenue recovery services for service businesses. Our platform autonomously engages with your customers via SMS/MMS to recover missed calls, dead quotes, and unpaid invoices on your behalf and under your business name.

3. CLIENT RESPONSIBILITIES

As a client, you agree to:

• · Provide accurate business information and contact data
• · Ensure you have proper consent to contact the individuals whose data you provide
• · Comply with all applicable laws including TCPA, CAN-SPAM, and HIPAA (if applicable)
• · Maintain current payment information
• · Not use the service for any illegal or unauthorized purpose

4. MESSAGING CONSENT AND COMPLIANCE

Our service sends SMS/MMS messages on your behalf. You represent and warrant that you have obtained all necessary consents from message recipients in compliance with the Telephone Consumer Protection Act (TCPA) and all applicable state laws. You are responsible for maintaining proper opt-in records for your contacts.

Message recipients may opt out at any time by replying STOP. Ironline Response honors all opt-out requests immediately and maintains a do-not-contact list.

5. PRICING AND PAYMENT

Service fees are billed monthly as specified in your service agreement. Performance fees on recovered revenue are calculated and billed monthly in arrears. All fees are non-refundable except as specified in the 30 day performance guarantee: if Iron Forge doesn't recover at least 2x your monthly fee within the first 30 days, you may cancel with a full refund of the first month.

6. INTELLECTUAL PROPERTY

The Iron Forge platform, Forge Console, and all related technology are the proprietary property of Ironline Response LLC. You are granted a limited, non-exclusive license to use the service during your subscription period. You may not reverse engineer, copy, or redistribute any part of our platform.

7. DATA OWNERSHIP

You retain ownership of your business data, contact information, and customer records. Ironline Response retains the right to use anonymized, aggregated data from conversations to improve our AI models and service quality. No personally identifiable information is used in model training.

8. LIMITATION OF LIABILITY

Ironline Response is not liable for indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim. We do not guarantee specific revenue recovery amounts.

9. TERMINATION

Either party may terminate the service agreement with 30 days written notice. We reserve the right to suspend or terminate your account immediately for violation of these terms or non-payment. Upon termination, your access to the Forge Console and all services will be revoked.

10. GOVERNING LAW

These terms are governed by the laws of the State of Minnesota. Any disputes shall be resolved in the courts of Hennepin County, Minnesota.
